Terms of Service

SUBSCRIPTION AGREEMENT – STABLE EYE

1. Parties

This Subscription Agreement ("Agreement") is entered into between:

Stable Eye Technologies Inc., a Delaware corporation ("Provider"),

and

[Legal name of stable / company], with registered address at [address] ("Client").

2. Service Description

Provider offers a subscription-based equine monitoring service consisting of:

  • an IoT device installed inside horse stalls, and
  • a cloud-based software platform that analyzes images and provides monitoring insights.

The service is provided per horse, based on the number of horses enrolled by the Client.

3. Subscription Plan and Pricing

The Client subscribes to the following plan:

  • Plan: Standard / Pro
  • Price: USD $35 / $70 per horse per month
  • Initial quantity: [number] horses

The total monthly fee is calculated as:

Price per horse × number of horses

Billing is performed monthly in advance via Stripe.

4. Adjustments to Number of Horses

The Client may increase or decrease the number of horses covered by the subscription.

Any change in quantity will:

  • be reflected in the next billing cycle, and
  • automatically update the monthly fee.

5. Billing and Payment

  • Payments are processed electronically via Stripe.
  • Invoices are generated automatically by the billing system.
  • Failure to pay may result in suspension of the service.
  • All prices are exclusive of applicable taxes, unless otherwise stated.

6. Device Use and Responsibility

The hardware device remains the property of Provider unless explicitly sold.

The Client agrees to:

  • install and use the device according to provided instructions,
  • avoid misuse, tampering, or unauthorized modification.

Normal wear and tear is excluded from liability.

7. Data and Privacy

  • The Client retains ownership of all data related to their horses.
  • Provider may process data solely for the purpose of delivering and improving the service, in accordance with applicable data protection laws.

8. No Medical or Veterinary Advice

  • The service provides monitoring and behavioral insights only.
  • It does not constitute veterinary advice, diagnosis, or medical treatment.
  • All health-related decisions remain the responsibility of the Client and their veterinary professionals.

9. Term and Termination

  • The Agreement is valid for the duration of the active subscription.
  • The Client may cancel the subscription at any time, effective at the end of the current billing period.
  • Provider may terminate the Agreement in case of misuse or non-payment.

10. Limitation of Liability

  • Provider shall not be liable for indirect, incidental, or consequential damages.
  • The total liability of Provider shall not exceed the amount paid by the Client in the preceding 3 months.

11. Governing Law

This Agreement shall be governed by the laws of the State of Delaware, USA.

12. Acceptance

By subscribing and completing payment, the Client agrees to the terms of this Agreement.
